BOWLS NORTHUMBERLAND CONSTITUTION

This is the constitution of the unified body governing level green bowls in Northumberland.

1. Title
The Association shall be called ‘BOWLS NORTHUMBERLAND’.

2. Objects
a) To promote, safegaurd and foster the game of level green bowls in Northumberland.

b) To adopt and enforce all of the obligations required of a member county under the Articles of Association and the Rules and Regulations of our National Governing Body ‘BOWLS ENGLAND LIMITED’.

3. Membership
Ther are two members of Bowls Northumberland:-
Bowls Northumberland Women’s Section.
Bowls Northumberland Men’s Section.

4. Fees and Subscriptions
Bowls Northumberland undertakes to ensure that membership and competition fees due to Bowls England
by its members and their member clubs as a unified body under the title of Bowls Northumberland are paid.

5. Administration
The affairs of Bowls Northumberland shall be managed by an Executive Committe comprising:-

Five elected representatives from Bowls Northumberland Men’s Section.
Five elected representatives from Bowls Northumberland Women’s Section.

The chairing of the meetings of the Executive Committee will alternate by gender.

The Executive Committee will meet at agreed intervals but not less than twice a year
(once in March and once in September).

6. Election of Officers
a) All members of The Bowls Northumberland Executive Committee will be elected by the members of:-

Bowls Northumberland Women’s Section.
Bowls Northumberland Men’s Section.

At their respective Annual General Meetings and will be appointed for one year.

7. Indemnity
a) All Honorary Officers, Delegate Officers and Executive Officers of Bowls Northumberland, except in the
case of wilful default or fraudulent acts or omisions, be indemnified by and out of the funds of
Bowls Northumberland, against any loss, damage, expenses or liability incurred by reason or in conection
with any legal proceedings instituted against them or any of them for any act done, omitted or suffered in
relation to the performance of any of their duties in respect of Bowls Northumberland.

b) Bowls Northumberland shall effect any appropriate insurance cover in respect of the indemnity provision of this clause at the expense of Bowls Northumberland.

c) Each member of Bowls Northumberland shall (to the extent that such person is not entitled to recover under any other policy of insurance) be entitled to be indemnified out of any and all funds available to Bowls Northumberland, which may lawfully be so applied, against all costs, expenses and liabilities whatsoever incurred by such person in the proper execution and discharge of duties undertaken on behalf of Bowls Northumberland or arising there from, or incurred in good faith in the purported discharge of such duties.

8. Dissolution
a) If the management committee decides that it is necessary or advisable to dissolve Bowls Northumberland, or if at any General Meeting of the Association a resolution is passed calling for the dissolution of the Association the County Administrator shall immediately convene a Special General Meeting to be held not less than one month thereafter to discuss and vote on the resolution.

b) If, at that Special General Meeting, the resolution is carried by at least two-thirds of the Members present, the Committee shall thereupon, proceed to realise the assets of the Association and discharge all debts and liabilities of the Association.

c) After discharging all debts and liabilities of the Association, the remaining assets shall not be paid or distributed amongst the members or member clubs of the Association, but shall be given or transferred to some other voluntary organisation having similar objects.
